Abstract: This article makes a case for holding groups as a type of enterprise structure which guarantees capital and structural security at the time of economic and political transition in the 1990s, which in a way prepared them for the global recession in the early 21st century. The case study of PKN Orlen is presented to illustrate the typical economic developments which accompanied privatisation and commercialisation of Polish state-owned enterprises. A major part of the article addresses management mechanisms which make a holding structure immune to strong economic turbulence which would otherwise be destructive to individual daughter companies.

TL;DR: In this article, the authors identify and systematize the most important perspectives for synergy effect evaluation in the process of strategic analysis and identify the structural conditions for the synergy effect analysis.
Abstract: Although the subject of synergy has been explored for a long time, there are many indications that it is still gaining in importance, in the field of economics. The phenomenon of synergy seems particularly important in the field of M&A’s, alliances and the development of new organizational forms of enterprises. Synergy effects are most often evaluated from the operational and very rarely in the strategic, structural perspectives. The aim of the article is to identify and systematize the most important perspectives for synergy effect evaluation in the process of strategic analysis. The identified perspectives will be the starting point of the further research on criteria selection for synergy effects evaluation and will be one of the components of a more complex framework of the process of resource analysis. The research was conceptual, based on a literature review in the fields of methodology of strategic analysis, strategic management and Resource-Based View (RBV) approach. The identification of the structural conditions for synergy effect evaluation, requires focusing on: the subjective scope of the synergy effect analysis, key areas of strategy content and context, with the important role of strategic resources.

Abstract: The paper provides an overview of the research on ensuring the survival of a business threatened with bankruptcy (in the recent past) as the primary goal of allostatic action and its implications. There was implemented a very specific procedure of diagnosing and positioning organizational situation represented by Entrepreneur FOGT’s business during a particular period of time from 2014 to 2018. This research procedure is focused on year 2018, but years from 2014 to 2017 provide the necessary background for the whole study. The organizational situation of researched business is determined by a recognized level of organizational effectiveness or potential ineffectiveness caused by dysfunctions. The diagnosis is based on qualitative, long lasted depth analysis of the organizational situation of the researched company by means of the author’s own implement named „The Business Life Cycle Model of Organizational Effectiveness Influenced by Dysfunctions”. The measuring instrument (grading system) of this model is used to introduce the outcomes of the research work. All such way collected outcomes of each individual diagnosis gives the picture of overall organizational performance of given company annually, during the whole period of the research. The outcomes are adequately visualized on an appropriate scale, making the most of the model.
