Valuing high-tech startups using traditional valuation models has continued to pose valuation challenges to entrepreneurs, investors as well as financial analysts. The complications in valuing startups are heightened by the variations in valuation methodologies and the absence of operational data. Identifying the appropriate methodology for valuing startups is crucial to establishing value and a prerequisite for accessing funding through mergers or acquisitions. The purpose of this study was to examine the effect of valuation methods on the likelihood of mergers and acquisitions of high-tech startup organizations in the Nigerian capital market. The theoretical underpinning of this study is rooted in valuation theory and mergers and acquisitions theories. The extent to which valuation methods impact the likelihood of securing funds through mergers and acquisitions was the overarching research question. Random sampling was used to obtain records of valuation methods and mergers and acquisitions that occurred between 2006 and 2016 from companies in the high-tech sector. A binary logistic regression model was used to test the impact of valuation methods on the likelihood of mergers and acquisitions of high-tech startups. The impact of valuation methods on the likelihood of mergers and acquisitions was found to be not statistically significant. The participants indicated a preference for specific valuation methods during negotiations for mergers and acquisitions. The findings have implications for positive social change via a reduction in the unemployment rate by encouraging startups with their innovation and entrepreneurship. This should help to facilitate the emergence of sound valuation methods for valuing high-tech startups in the Nigerian capital market.

The Impact of Valuation Methods on the Likelihood of Mergers and Acquisitions of High-tech Startup Companies in Nigeria

The present paper introduces the new procedure of the Deutsche Bundesbank for estimating the (spot) yield curve. It explains the methodological approaches (Nelson and Siegel (1987) and Svensson (1994)) and some of the basic concepts which are important for estimating and interpreting this curve. It also describes the results of the application of the procedure to the prices of German Federal securities on a monthly basis from September 1972 to December 1996. The new procedure is appropriate for monetary policy purposes. On the one hand, it is sufficiently flexible to reflect the patterns of the data observed in the market. On the other the estimated curves are relatively robust with respect to individual observations and thus relatively easy to interpret in monetary policy terms.

Balance sheet analysis is standard practice for assessing private sector businesses. No such analysis has been applied to central banks previously. We provide the theoretical foundation and rationale for such analysis. This foundation is rooted in the quality theory of money which places special emphasis on subjective factors as a complement to the more conventional quantitative factors that determine money’s purchasing power. The balance sheet of a central bank reveals the quality of the assets backing a currency and serves as an indicator of future monetary policy. Several accounting ratios proxy the quality of money in terms of assets held by the central bank, alluding to potential shifts in its purchasing power. These ratios can also be used to estimate the scope of future monetary policies that are feasible by the central bank.

Central Bank Balance Sheet Analysis

In the division of labor, economizing valuations require an appraisement of the structure of market prices of goods beforehand. Yet, investment decisions concerning the purchase of an entire business enterprise, for example, necessitate considerations beyond appraisement. An economizing valuation of businesses must be based upon both appraisement and a genuine investment appraisal which provides the valuing person with the marginal price he can barely accept. However, even though the computation of this marginal price is a necessary step towards an economizing investment decision, it is still not sufficient. In case of a company purchase, the price to be paid is unknown beforehand. Therefore, an economizing valuation of firms not only requires both appraisement and investment appraisal but also a negotiation of the final price to be paid. Because the corresponding negotiation process must be characterized as a terra incognita in Austrian economics, this paper investigates in depth the negotiation between the involved parties as the final step towards their economizing valuations and discusses purposive negotiation tactics.

Agree or Disagree? On the Role of Negotiations for the Valuation of Business Enterprises

The significant failure rates observed in mergers and acquisitions (M&A) indicate structural deficiencies in business transactions. This paper identifies serious weaknesses in common valuation methods that play a key role in poor transaction practice. Common valuation methods are in particular discounted cash flow (DCF) methods. DCF methods are usually based on neo-classical theories that assume the existence of a perfect and complete capital market. As will be demonstrated, the underlying theoretical patchwork is contradictory and lacks utility. Therefore, utilizing DCF methods to value a business and deduce economic decisions from such a valuation is decision-making built on sand. Following a normative-deductive methodology, this paper seeks an alternative theoretical concept to build a business valuation theory on solid ground. Such an alternative is found in the Austrian School of thought. The resulting valuation concept, subjective business valuation theory, is based on the theory of marginal utility proposed by Gossen, which was rediscovered and refined by the scholars of the early Austrian School. Contrary to highly restrictive neo-classical valuation, subjective business valuation approaches reality and is therefore well-suited for practical implementation.

Business Valuation Inspired by the Austrian School

Valuation techniques, such as discounted cash flow and multiples, are applied in transactions and are also relevant for accounting, tax, and litigation issues. Within these and other valuation purposes, the techniques are crucial for “social interactions” like market processes and legal affairs. We examine this “social dimension” of business valuation and look especially at the advancement of valuation knowledge and techniques. For this purpose, we employ an approach based on “actor-network-theory” (ANT). In order to study specific margins of business valuation, the focus lies on the dissemination of the capital asset pricing model (CAPM) in German judicial valuation. We conclude, inter alia, that “the” CAPM has developed into a growing actor-network over the time, a well-established infra-structure which allows other actors to link to it. The CAPM-network deploys specific actors which enable to conduct or implement advantageous actions. In this context we discuss concepts like co-authorities, (vague) labelling, vague referencing and responsibility at a distance. Moreover, we identify specific arguments which are used by courts regarding the application of the CAPM. We suggest that these arguments are particular important to solidify and perpetuate the application of the model in judicial practice. The present study intends to shed light on the process of the construction of valuation techniques, the actors which are involved in this process, and the interactions of these actors. In doing so, we intend to facilitate and objectify the dialogue between actors in business valuation and thus to improve further ambitions to construct valuation techniques.
