Abstract: Companies have the choice to deviate from their national corporate governance standards by opting into another system. They can do so via contractual devices - such as cross-border mergers and acquisitions, (re)incorporations, and cross-listings - which enable firms to choose their preferred level of investor protection and regulation. This paper reviews these three main contractual governance devices, their effect on value, and whether their adoption by firms induces a race to the bottom or a race to the top. Indeed, firms may opt for less shareholder-orientation or investor protection shareholder-expropriation hypothesis) rather than for more stringent rules that require firms to focus on shareholder value (bonding hypothesis).

TL;DR: In this paper, the role of the ethical register in the process of theory formation is discussed, and the importance of this register is emphasized, as opposed to the positive/normative dichotomy of post-positivist thinking.
Abstract: Theory building is conditioned by three registers – the ontological (reality), the epistemological (knowledge) and the ethical (values). The significance of the first two is widely acknowledged. But the third register tends to be overlooked, especially where a positive/normative dichotomy is assumed. Post-positivist thinking problematizes this dichotomy but leaves the ethical register unthematized. The paper addresses this neglect and illustrates the role of the ethical register in processes of theory formation. Attentiveness to the ethical register is seen to invite radical reflection on a dominant, anthropocentric value-orientation, and thereby problematize the institutionalized estrangement of researchers from the ‘objects’ of their analysis and the abstraction of organizations from their embeddedness in the biosphere.

Abstract: Drawing on actor network theory (ANT), this paper analyses the role of Chinese characteristics in the emergence of three accounting regulations for foreign invested firms (FIFs) as part of China’s recent transformation to become part of the “world order”. The paper examines how international accounting standards (IAS) and existing Chinese accounting were translated into new regulations for FIFs, and how these translations were shaped by malleable interpretations of Chinese characteristics. Chinese characteristics were a discursive obligatory passage point (OPP) rendered malleable through cognition and the sanctions of political authority to suit the interests of actors seeking to produce new accounting regulations. Chinese characteristics were a signifier that carved out a space for local networks to attain their identity and retain some measure of independence from global networks, shaped the construction of each accounting regulation for FIFs into an attractive package, and influenced the adaptation and transformation of those elements of Western accounting that arrived into China. In turn, IAS became part of the discursive field on accounting regulation that helped mediate the shifts in the interpretation of Chinese characteristics over time.
