Abstract: Increased business complexities coupled with enhanced global transformation have propelled corporations to behave as responsible citizens to drive the sustainability agenda. Many corporations incorporate their affirmative commitment to sustainable business practices into their corporate identities and give evidence for this in their sustainability reports. This paper examines the role of the board of directors in sustainability reporting quality (SRQ) in the Asia-Pacific region. Based on a cross-sectional study of 113 companies from 12 countries in the region, we find that the SRQ in the region leaves much room for improvement. However, we find that the institutionalization of the concept of corporate social responsibility (CSR) in an organization provides a sound foundation for enhancing SRQ. We find that the value of CSR anchored in the vision and/ or mission statement and strategic alliances fostered with non-governmental organizations are positively associated with SRQ. This study contributes to strengthening the understanding, promoting discussion on the state of sustainability reporting in the Asia-Pacific context and laying a solid foundation for more aggressive efforts to enhance SRQ. The study identifies the significant drivers currently associated with SRQ. The weak role of the board of directors in upholding the sustainable development agenda through the reporting process is highlighted. Copyright © 2013 John Wiley & Sons, Ltd and ERP Environment.

Abstract: Multi-level governance may facilitate learning and adaptation in complex social-ecological circumstances. Such arrangements should connect community-based management with regional/national government-level management, link scientific management and traditional management systems, encourage the sharing of knowledge and information, and promote collaboration and dialogue around goals and outcomes. Governance innovations of this type can thus build capacity to adapt to change and manage for resilience. However, critical reflection on the emergence of adaptive, multi-level governance for the commons is warranted. Drawing on examples from the North and South, the purpose of this review is to connect three complementary bodies of scholarship with insights for commons governance in a multi-level world: common property theory, resilience thinking and political ecology. From the commons and resilience literature, normative principles of adaptive, multi-level governance are synthesized (e.g., participation, accountability, leadership, knowledge pluralism, learning and trust). Political ecological interpretations, however, help to reveal the challenge of actualizing these principles and the contextual forces that make entrenched, top-down management systems resilient to change. These forces include the role of power, scale and levels of organization, knowledge valuation, the positioning of social actors and social constructions of nature. Also addressed are the policy narratives that shape governance, and the dialectic relationship among ecological systems and social change. tekst

Abstract: This paper examines the valuation impacts of outside independent directors in Korea, where a regulation requiring outside directors was instituted after the Asian financial crisis. In contrast to studies of U.S. firms, the effects of independent directors on firm performance are strongly positive. Foreigners also have positive impacts. The effects of indigenous institutions such as chaebol or family control are insignificant or negative. This implies that the effect of outsiders depends on board composition as well as the nature of market in which the firm operates.

Abstract: Governance and institutions are critical determinants of adaptive capacity and resilience. Yet the make-up and relationships between governance components and mechanisms that may or may not contribute to adaptive capacity remain relatively unexplored empirically. This paper builds on previous research focusing on integrated water resources management in Brazil to ‘unpack’ water governance mechanisms that may shape the adaptive capacity of water systems to climatic change. We construct a river basin index to characterize governance approaches in 18 Brazilian river basins, apply a reliability test to assess the validity of these governance indicators, and use in-depth qualitative data collected in a subsample of the basins to explore the relationship between the governance indicators and adaptive capacity. The analysis suggests a positive relationship between integrated water governance mechanisms and adaptive capacity. In addition, we carry out a cluster analysis to group the basins into types of governance approaches and further unveil potential relationships between the governance variables and overall adaptive capacities. The cluster analysis indicates that tensions and tradeoffs may exist between some of the variables, especially with equality of decision making and knowledge availability; a finding that has implications for decision makers aiming to build adaptive capacity and resilience through governance and institutional means.
