Abstract: On 8 October 2008 the European Commission adopted the Proposal for a Directive on Consumer Rights. This framework-directive is intended to be the climax of the work on the revision of the consumer acquis. It builds in particular on the Green Paper on the Review of the consumer acquis and the more than 300 reactions the Commission received on the Green Paper. In the Green Paper, the European Commission drew the attention to, amongst other things, the regulation of the various rights of withdrawal, which are included in several directives, and the requirements for invoking these rights. This paper examines whether the harmonisation effort undertaken is successful, whether the right choices are made in the Proposal, and whether, as the European Commission indicates, the right balance between a high level of consumer protection and the competitiveness of enterprises is indeed achieved.

Abstract: Does the Takeover Bids Directive need revision? The answer to this question will most likely affect the Commission’s assessment of the Directive in 2011 and could initiate its revision. Proponents of such a revision urge the Commission to redress the shortcomings of the Directive’s implementation in two ways: 1) revising the mandatory provisions of the Directive making them less easily to avoid; and 2) creating new provisions that would weaken incumbent managers’ lock on control that would make corporate control more contestable. In this short essay, however, we show that the Commission’s opt out strategy has proved, in practice, to be remarkably popular with Member States and does not need any further discussion.
