Systems and Methods for Secure Transaction Management and Electronic Rights Protection

The present invention is a method and apparatus for effectuating bilateral buyer-driven commerce. The present invention allows prospective buyers of goods and services to communicate a binding purchase offer globally to potential sellers, for sellers conveniently to search for relevant buyer purchase offers, and for sellers potentially to bind a buyer to a contract based on the buyer's purchase offer. In a preferred embodiment, the apparatus of the present invention includes a controller which receives binding purchase offers from prospective buyers. The controller makes purchase offers available globally to potential sellers. Potential sellers then have the option to accept a purchase offer and thus bind the corresponding buyer to a contract. The method and apparatus of the present invention have applications on the Internet as well as conventional communications systems such as voice telephony.

A system for interactive on-line electronic communications and processing of business transactions between a plurality of different types of independent users including at least a plurality of sellers, and a plurality of buyers, as well as financial institutions, and freight service providers. Each user can communicate with the system from remote terminals adapted to access communication links and the system may include remote terminals adapted for storage of a remote data base. The system includes a data base which contains user information. The data base is accessed via a validation procedure to permit business transactions in an interactive on-line mode between users during interactive business transaction sessions wherein one party to the transaction is specifically selected by the other party. The computer receives incoming buy and sell offers from the subscriber stations and arranges these in buy and sell offer lists ordered by price, offers bearing the same price being ordered according to their time of arrival. The system automatically compares each incoming buy offer with the ordered sell offers and vice versa. Each match causes a transaction to be completed and the parties concerned, identified by a bit field associated with each offer, are informed. The procedure repeats until either the incoming offer is fulfilled or the list exhausted, any remaining part of the incoming offer being placed in the appropriate list. Each offer may be broadcast to all the subscribers via a separate channel. Each subscriber may call for a print out of the lists and may respond either to this print out or to a "broadcast".
