This article seeks to elaborate a new understanding of full harmonization in European private law as a two-track concept. The Court of Justice of the European Union (CJEU) applies it in two different ways, namely in a ‘result-oriented’ or in a ‘basis of liability’ manner. Connecting them to private law theory, these distinctly different approaches bring to mind a famous dichotomy between common law and civil law systems on the way in which they perceive the relation between rights, wrongs and remedies. The article proposes that a new understanding of the CJEU’s legal reasoning in light of private law theory can provide new insights for law-making in European private law.

This paper deals with the recent normative modifications introduced in the European Union by the Directive 2011/83/EU (aimed to realize a full harmonization of member states’ rules in some aspects of consumer and contractual law), and consequently in Italy, through the Legislative Decree No. 21/2014 (which transposed the supranational source). As it is known, the principal legal instruments used in the last years by the EU to protect the weak parties are the ‘information duties’ and the ‘right of withdrawal’. The new rules try to strengthen them, but the implementation of the European Directive in Italy gives rise to many arguable points and perplexities.

Tra gli strumenti ADR non aggiudicativi un ruolo di primo piano è ricoperto dalla mediazione civile e commerciale. Nell’ordinamento italiano questo istituto è stato introdotto nel 2010, per attuare la direttiva europea n. 52 del 2008 ed è stato riformato dal Decreto del Fare (d. Lgs. 69/2013) nel tentativo di renderlo più appetibile. Nonostante questo intervento normativo, a distanza di dieci anni, l’istituto della mediazione in Italia riceve ancora una scarsa applicazione ed è per questo che il legislatore, nel quadro di una più ampia riforma del processo civile,che guarda agli strumenti alternativi come strumenti complementari di composizione dei conflitti ha, con la legge delega 206 del 2021, introdotto nuovi incentivi fiscali, per la mediazione.
