The word governance comes from a Latin word – gubernare – which means to steer. Cicero has written ‘he that governs sits quietly at the stern and scarce is seen to stir’. Thus my colleague, Dr Collette Kirwan, has conceptualised the board as being the navigator of the company.

What is Corporate Governance

Manuscript Type: Empirical Research Question/Issue: In this paper, we examine the determinants of the level of disclosure on corporate governance practices among European listed companies in the time period preceding the adoption of the European Union recommendations and Action Plan. Research Findings/Results: Using ratings on corporate governance disclosure issued by an independent rating agency we find that – ceteris paribus – the level of disclosure: (1) is lower for companies with higher ownership concentration; (2) is higher for companies from common-law countries; and (3) increases with the level of working capital accruals. Theoretical Implications: The results of the study support theoretical arguments that companies disclose corporate governance information in order to reduce information asymmetry and agency costs stemming from the separation between ownership and control, and to improve investor confidence in the reported accounting information. The study suggests various avenues for future research on corporate governance. Practical Implications: To policy makers and practitioners, the results suggest that a mandatory corporate governance disclosure requirement is abundant, and perhaps could even be inefficient. The results also indicate which types of companies can be expected to be least willing to comply with recent corporate governance disclosure requirements, and thus will need extra monitoring.

Disclosure on corporate governance in the European Union: Theory and evidence

Cruise lines seek for new markets in order to accommodate the growing demand for cruise tourism. In this context, East Mediterranean and Black Sea ports would be alternatives to the current cruise destinations in the West-Med region. However, the Black Sea and East Mediterranean regions currently do not have a hub port (or homeport) functioning as a gateway for cruise passengers. Based on existing cultural and social attractions, Turkey and Istanbul would be a potential candidate on serving as a homeport for the region. This paper first explores the general determinants and conditions to serve as a cruise homeport from micro, meso and macro perspectives. It assesses the potential of cruise development in Istanbul based upon the findings of in-depth interviews with cruise industry experts and local stakeholders. Furthermore, a port portfolio analysis of a range of selected regional ports in the period 2006–2011 is executed, and coupled to insights from the expert and stakeholder interview panel. As a result, the paper offers first insights into the potential application of port portfolio analysis for cruise ports, as well as policy and managerial recommendations for cruise industry stakeholders within the Eastern Mediterranean Region, with regard to the development of a homeport.

Turkey's potential on becoming a cruise hub for the East Mediterranean Region: The case of Istanbul

This study examines how the CSR committee and CSR-linked executive compensation jointly affect CSR performance as governance mechanisms. Prior studies provided mixed results on the CSR committee’s effect on CSR performance. We posit that a CSR committee has both a direct and an indirect positive effect on CSR performance, with CSR-linked compensation playing the role of mediator in the relationship. We base our analysis on a sample of 164 Canadian firms covering the period 2012–2018, for a total of 952 firm-year observations. We propose a regression-based approach for our mediation research design. Our findings reveal that CSR-linked compensation mediates the CSR committee’s positive effect on performance, but the type of mediation depends on whether the performance is social or environmental. We provide evidence of both direct and indirect effects on environmental performance but only a positive indirect effect on social performance. These results suggest that demands from the firm’s internal and external stakeholders are treated differently, with the former receiving priority.
